'Side agreement' of a Memorandum of Association

A 'side agreement' to the memorandum of articles and association (MoA) of a limited liability company (LLC) is considered illegal, yet it is still taken into account by the UAE's top courts.

The Supreme Courts in both Dubai and Abu Dhabi have come to recognise the side agreement, taking into account the ground realities.

90 per cent of businesses in the UAE are in reality owned by foreign partners, even if the local partner holds a 51 per cent share in the company.

In order to protect the foreign partner, the law allows up to 80 per cent distribution of the profits to the expatriate owner despite the 51:49 shareholding pattern, while according managerial control to the foreign partner.

Another measure to safeguard the real investor is right of first refusal to the foreign partner in the event that the local partner wants to transfer his shareholding.

Free repatriation flight tickets to deserving Indians

Free tickets are being offered by philanthropists and businessmen based in the UAE for deserving Indians who want to fly home.

Repatriation ticket prices have been set at around Dh700 to Dh750 per person depending on the destination.

Malayalam Communications Ltd and its Malayalam stations (Kairali TV & Kairali News) are giving away 1,000 tickets free. Those who wish to apply can submit their application to freetickets@kairalitv.in.

Indian businessman Dhananjay Datar, chairman & managing director of Al Adil Trading Company, is also giving away 300 tickets. This has to be applied through the Consulate General of India.

Pravasi India Forum, a welfare organisation in UAE, is giving away 100 tickets. The NGO on Monday, May 11, uploaded a registration form where people can provide their details. “Tickets will be given to those approved by CGI and for those who are in financial distress,” said Abulaise, president of Pravasi Welfare Forum.

Punnakan Mohammed Ali, general secretary Incas UAE committee, said it is also ready to give away hundreds of free tickets.

Protocol for Indians repatriated from UAE on departure and arrival
Indians returning home on COVID-19 repatriation flights from the UAE will have to undergo mandatory medical tests before departure while tests for coronavirus will be conducted only after a compulsory 14-day institutional quarantine upon landing in India. 

all passengers will be required to sign an undertaking to undergo compulsory quarantine at the point of arrival and bear the cost for the same.

All departing passengers will have to undergo medical screening and IGM/IGG tests at the airport of departure and only those cleared by the UAE health authorities and found to be asymptomatic will be allowed to board the plane, Indian embassy said.

Each passenger, at the time of boarding, will be handed a safety kit containing two three-layered face masks, two pairs of gloves and pouches/small bottles of hand sanitisers.

While onboard the flight, the health protocol of the Ministry of Civil Aviation of India will be strictly followed.
This will include wearing of masks, maintaining environmental hygiene, respiratory hygiene and hand hygiene. This will be followed by airline staff and crew members and all passengers,

On arrival 
On arrival at the destination airport, thermal screening, as per health protocol, would be carried out in respect of all the passengers by the health officials present at the airport.

The passengers who are found to be symptomatic during the screening shall be immediately taken to a medical facility as per the health protocol.

The remaining passenger will be taken to suitable institutional quarantine facilities. These passengers shall be kept under institutional quarantine for a minimum period of 14 days.

If they test negative after 14 days, they will be allowed to go home and will undertake self-monitoring of their health for another 14 days as per protocol. The remaining persons will be shifted to a medical facility by the state or union territory government.

Saudi Arabia approves 'part-time work' for Saudi Nationals

The Saudi Minister of Human Resources and Social Development has approved the terms and conditions for “part-time work”, which will come into effect as of July 2020.

The working hours for part time employees should be half the normal working hours in the business and only Saudi nationals will be entitled for this system.
Any employee working on a part-time contract in an enterprise owned by a Saudi employer, will be counted in the Saudization percentages (Nitaqat). They will also be registered in the General Organization for Social Insurance (GOSI) as a part time worker.

The employer will not be obliged to compensate part time employees for paid leaves, including annual leave, occasion leaves, and sick leave. Meanwhile, the worker will not be subject to a probation period, but his work contract will be subject to the pensions branch of GOSI.

The Saudi part-time worker will be deemed a third of a fulltime Saudi employee, in the Saudization percentages.

A part-time worker should complete a total of 168 hours of work. Their salaries will be based on an hourly wage and will be paid every month or as the two parties agree upon.

a part-time worker should not be compelled to work for more than 95 hours per month for a single employer. The worker on a flexible contract system has the right to accept or refuse to work, any time he is asked to, without any measures being taken against him.

The work contract should be for a specific period with a specified hourly wage, and it is permissible to specify or amend the work duty hours, depending on agreement between the two parties.

To employ workers on the “flexible work” system, the contract must be attested at the portal specified by the ministry. Disputes that might arise regarding the “part time work” or “flexible work” contract will be looked into by the labor courts, as such contracts come under their jurisdiction.

MOHRE: grant sick leave to Covid-positive employees

Private sectors employees who are infected with coronavirus and no longer reporting to work should not be terminated and are to be considered on a sick leave.
The Ministry of Human Resources and Emiratization has called on private sector businesses to deal with employees infected with coronavirus as normal sick cases for which they are entitled to a sick leave according to the Federal Law No. 8 of 1980.

As per the federal law, if an employee falls sick, he/she becomes entitled to a sick leave not more than 90 days either continuous or intermittent per each year or service, computed as follows:

A. The first fifteen days with full pay.
B. The next thirty days, with half pay.
C. The subsequent period, without pay

Pursuant to the law, an employee who has completed more than three months of service after the completion of a probation period is entitled to sick leave for a period not exceeding 90 days, continuous or otherwise, for every year of service, wherein he or she should be paid a full salary for the first 15 days, half salary for the subsequent 30 days, and go without any salary for the remaining 45 days.

The ministry instructed private establishments not to end the service of any employee infected with the virus, adding that it will deal with any complaint in this respect in accordance with the procedures followed, where the complaint that cannot be resolved amicably will be referred to the judiciary to determine whether the termination of service is an arbitrary or not.
The ministry stressed the need for establishments to adhere to documenting leaves taken by its employees and any amendments that occur to their contracts.

It also called on companies to pay salaries on time and document all changes to the work contracts which may include a reduction in salaries on permanent or temporary.

Steps to follow:
1. Get license renewal payment voucher through DED website or DED Service counter at Tas'heel Centers or DED branches.

2. Then submit fine discount request through Dubai Municipality's revenue online service (if any).  Skip this step if you don't have any fine.

3. Then mail the payment voucher which is received from Revenue Department to DED's e-mail address for installment payment facility.

Following documents to be attached with installment payment request.

1. Latest valid Payment Voucher.
2. DED form filled and signed by license owner. Click here for DED form.
3. Letter from the License owner requesting installment.
4. Determine the counting of payments, provided that the license expiration date is not exceeded.

5. Emirates ID copy of the license owner and applicant's Mobile number.
Once DED approved your installment request, they will send you details of installments with Payment Voucher number, Amount of each cheque and date of each Cheque. You should issue cheque in the name of Dubai Economic Department and deposit at Aafaq Counter.

Attach below mentioned Documents:1. Fill up a form Aafaq Tasaheel TL Finance Form, available at Aafaq counters.
 2. All the partner’s Passport copy and Emirates ID Copy with the company stamp. 3. Cheque should be in the name of the company. 

Submit all documents at Aafaq Islamic Finance center at Sheikh Zayed Road. they will review your application. The Aafaq team will contact you back if your application is approved for a monthly installment.

License Renewal
Two Options
are available for Trade License renewal

Option 1: Take the above mentioned documents to DED counter at any Tas'heel Centre

+ You can make payment at the Cashier and get the license same time or pay latter through online by Credit Card or bank account (CBD, ABIB, DB).
+ License contact information also can be changed like Post Box, Telephone number.

Service Fee: Dh100 (amount varies depends on type of service)
+ Trade Name reservation, Trade Name renew, Initial approval for new license and Trade License printing service also available at Tas'heel centres.

Tas'heel Business Centre Timing: 8am to 8pm (Sunday to Thursday)

Option 2: Create a new user account in DED Website for your company. After submitting required information, you will get username and password. Print the authorization form which is found bottom of the page, fill the information, put seal and signature and submit at the DED Dubai Mall branch or Business Village branch near Clock Tower. Attach Trade License copy, Partners list and your passport copy. You should be a partner/manager to get authorization.

After activation, you can enter DED site and manage your license transactions including renewal.

Once your EJARI is done, it will be linked automatically with the license renewal system. When you click on RENEW option, it will show the EJARI details and staff information. Click on Continue button and system will generate payment voucher. You can make payment using Credit Card or through Direct Debit bank account (CBD, ABIB) or pay Cash or Cheque at DED branches.
Tourism License Renewal: Attach tourism license insurance renewal certificate. FINE: Trade license is valid for one year. After expiry, 30 days grace period is there.  If not renewed within the grace period, Dh200 fine per month will be charged at DED.

How to register salary delay complaint in UAE?

If you want to complain about a delay in salary payment, you can raise your issues with the Ministry of Human Resources and Emiratisation (MOHRE).

'My Salary' allows UAE-based employees to register a complaint anonymously in case they have not been paid on time by their employers.

Login My Salary Page or access on MOHRE App

Step 1:
Register as an Employee. To register with MOHRE, you need to provide the following details:

Passport No.
Nationality
Birth Date

Then, select a username and set a password

Provide your e-mail address and mobile number.

You then need to set two secret questions and agree to the terms and conditions.

Confirm your e-mail address and mobile number.

You will then receive an OTP.

Once you enter the OTP, a confirmation e-mail will be sent on your registered e-mail address with a verification link.

Step 2: Click on 'Services for Employees' and select 'My Salary'.
 

Once you log back in to the website or App, you can then select 'My Salary' service from your dashboard.

Step 3: Provide details of delay in payment

When you select the service, you will be able to see the details MOHRE has on record for you as an employee.

This includes, your company name, your passport details and work permit number.
You can then provide details of the salary complaint, like the amount of time since you have not received your salary, if you have not been given your due overtime payment or have any other salary related issues.

Once you submit the complaint, the ministry will address the complaint and investigate it with concerned establishment.

Is the complaint anonymous?
The Ministry assured employees that the service offered complete anonymity to the complainant.

How long does it take to process the complaint?
The processing time for the service is five working days.
